GENERAL TERMS AND CONDITIONS OF SALE AND SERVICE PROVISION

1. APPLICATION
1.2. The general terms and conditions of sale apply to all orders for services placed with HR INTELLIGENCE SRL, located at Chaussée des Vignes 4a, B-1300 Wavre, hereinafter referred to as HR INTELLIGENCE.
1.3. These general terms and conditions of sale are the only ones applicable, to the exclusion of any general or specific terms and conditions of the customer that HR INTELLIGENCE has not expressly accepted in writing.
1.4. HR INTELLIGENCE may modify these general terms and conditions of sale at any time, provided that such modifications are posted on the website www.hr-intelligence.pro. The customer is deemed to have taken note of them, to have accepted all the clauses and to have waived the right to invoke their own terms and conditions of purchase.
2. OFFER AND ORDER
2.1. Unless otherwise stipulated in HR INTELLIGENCE's special terms and conditions, our offers are valid for one month.
2.2. Any order that has not been preceded by a written offer from HR INTELLIGENCE shall only be binding on the company if written acceptance has been sent by HR INTELLIGENCE.
2.3. Our agents or representatives do not have the power of representation. The sales they negotiate therefore only become binding after HR INTELLIGENCE has sent written acceptance of the order.
3. PRICES
3.1. HR INTELLIGENCE's prices are quoted in euros, excluding VAT. Any increase in VAT or any new tax imposed between the time of the order and the time of delivery shall be borne by the customer.
3.2. HR INTELLIGENCE's prices cover only the provision of services described in the special conditions, to the exclusion of all other work and services. If these are ordered by the customer, they will be invoiced in addition to the price specified in the special conditions.
3.3. When a service provided by HR INTELLIGENCE is specifically priced on a daily basis, the following will be invoiced: half a day for any service, or presence at the customer's request without any actual service being provided, for a minimum duration of one hour between 6:30 a.m. and 1 p.m.; another half-day for any service provided, or presence at the client's request without any actual service being provided, for a minimum of one hour between 1:00 p.m. and 6:30 p.m.; another half-day for any service provided, or presence at the client's request without any actual service being provided, for a minimum of one hour after 6:30 p.m.
3.4. When HR INTELLIGENCE services are specifically priced by the hour, each hour started will be billed.
3.5. HR INTELLIGENCE's prices are automatically increased by 100% for services provided on Saturdays
3.6. HR INTELLIGENCE prices are automatically increased by 200% for services provided on Sundays and Belgian public holidays.
3.7. For services lasting more than 6 months, the prices quoted are automatically adjusted every 6 months in line with changes in the consumer price index.
4. PAYMENT
4.1. Invoices are payable, in the currency of invoicing, at the registered office of HR INTELLIGENCE, no later than thirty days after the invoice date.
4.2. Any complaint relating to an invoice must be sent in writing to the registered office of HR INTELLIGENCE within eight calendar days of receipt. Failure to do so will result in the customer no longer being able to contest the invoice.
4.3. In the event of non-payment of an invoice by the due date, payment of all invoices shall become immediately due and payable
4.4. Any invoice unpaid on the due date shall automatically and without formal notice incur late payment interest of 1% per month, with a minimum of 100 euros.
4.5. Any invoice unpaid on the due date shall also be increased, automatically and without formal notice, by a fixed compensation of 10% of the unpaid amount as damages.
4.6. In the event that HR INTELLIGENCE is at fault in failing to fulfill its obligations under the contract, HR INTELLIGENCE shall pay a fixed compensation of 10% of the value of the services not performed.
5. DELAYS
5.1. The client may not invoke the deadlines for performance to request the termination of the contract, claim damages, or assert any other claim, unless otherwise expressly agreed in writing by HR INTELLIGENCE.
6. INTELLECTUAL PROPERTY
6.1. Unless otherwise agreed in the special conditions, any file or material produced by HR INTELLIGENCE for use by the client shall remain the property of HR INTELLIGENCE until full payment of the invoices relating to the provision of services.
7. WARRANTIES
7.1. HR INTELLIGENCE warrants that the files and elements created and provided to the client respect the rights of third parties and are not illegal.
7.2. The client confirms that the material used or provided to HR INTELLIGENCE for use is not illegal and does not in any way violate the rights of third parties.
7.3. The client is solely responsible for the content of the publications for which it requests HR INTELLIGENCE to perform and for which it provides the basic data. The client undertakes, in particular and without limitation, to obtain authorizations and pay any fees for texts, photos, illustrations, music, and in general for any work used
7.4. In the event of a claim by third parties concerning the client's use of the services provided by HR INTELLIGENCE, the client undertakes to indemnify HR INTELLIGENCE.
8. PROVISION OF SERVICES
Insofar as the provision of services is not explicitly linked to a service provider clearly specified in the contract, HR INTELLIGENCE reserves the right to propose a competent replacement at any time to provide the agreed services to the client.
9. LIMITATION OF LIABILITY
Once the provision of services has been completed, HR INTELLIGENCE shall no longer assume any liability other than that provided for in Article 7. Consequently, HR INTELLIGENCE shall not be liable for any damages incurred by the client as a result of changes made to the provision of services by the client or a user or anyone outside the staff of HR INTELLIGENCE.
10. CONFIDENTIALITY
10.1. Both the customer and HR INTELLIGENCE undertake not to disclose confidential information to third parties, including but not limited to access codes and passwords, financial information, billing data, and information about hardware, software, and the service.
11. TERMINATION OF THE SALE
11.1. HR INTELLIGENCE is entitled to terminate the sale, as of right, by notifying the customer by registered letter, in the event of serious breach by the customer of one of its contractual obligations, in particular if it is more than thirty calendar days late in paying an invoice or if it appears that it will not perform or is at serious risk of not performing one of its principal obligations, even before that obligation becomes due.
11.2. In the event of termination of the sale pursuant to the above paragraph, the customer shall be liable to HR INTELLIGENCE for damages set at 40% of the sale price of the services not yet performed, in addition to the services already performed and invoiced at 100% of the agreed rate.
12. JURISDICTION
Any dispute directly or indirectly relating to the contractual relationship between HR INTELLIGENCE and the customer shall fall within the exclusive jurisdiction of the Courts and Tribunals of Brussels.
13. APPLICABLE LAW
The contractual relations between HR INTELLIGENCE and the client are governed by Belgian law.
